Terms of Service

These terms govern your use of The Practice Catalyst website and the marketing, advertising, content, automation, and consulting services we provide.

1. ACCEPTANCE OF TERMS

By accessing thepracticecatalyst.com (the "Site") or engaging The Practice Catalyst ("we", "us", "our") for services, you agree to these Terms & Conditions. If you do not agree, please do not use the Site or our services.

2. ABOUT THIS PAGE

This page is maintained by The Practice Catalyst to describe the general terms under which we provide marketing, growth strategy, website, advertising, content, follow-up, and CRM-related services to medical, dental, and wellness practices. Specific engagements are governed by the proposal, statement of work, or agreement signed between you and us, which will control in the event of a conflict with these terms.

3. ELIGIBILITY & BUSINESS USE

The Site and services are intended for businesses, primarily licensed medical, dental, and wellness practices and their authorized representatives. You represent that you are at least 18 years old and authorized to enter into agreements on behalf of your practice.

4. SERVICES AND DELIVERABLES

We provide marketing, advertising, website, content, automation, and growth consulting services. Scope, fees, timelines, and deliverables for any engagement are described in a separate proposal or statement of work. Results from marketing services depend on many factors outside of our control and are not guaranteed.

5. CLIENT RESPONSIBILITIES

  • Provide accurate information, brand assets, and access required to perform the work.
  • Review and approve deliverables in a reasonable timeframe.
  • Comply with applicable laws, advertising rules, platform policies, and professional regulations.
  • Do not submit Protected Health Information (PHI) through the Site, forms, or unsecured channels.
  • Maintain your own compliance, legal, clinical, and HIPAA infrastructure including any required Business Associate Agreements.

6. FEES & PAYMENT

Fees, retainers, billing cadence, and refund terms are defined in your engagement agreement. Unless otherwise stated, invoices are due upon receipt and overdue amounts may result in suspension of services. Advertising spend paid to third parties (Google, Meta, etc.) is your responsibility unless explicitly included in your agreement.

7. INTELLECTUAL PROPERTY

The Site, including all content, design, logos, copy, graphics, and trademarks, is owned by The Practice Catalyst or its licensors and is protected by intellectual property laws. Upon full payment, ownership of deliverables created specifically for you transfers as described in your engagement agreement. We retain rights to underlying frameworks, templates, tools, methodologies, and anonymized learnings.

8. ACCEPTABLE USE

You agree not to:

  • Use the Site or services for unlawful, fraudulent, deceptive, or harmful purposes.
  • Attempt to gain unauthorized access to our systems, accounts, or client portals.
  • Reverse engineer, copy, scrape, or resell our content, frameworks, or platform.
  • Submit medical advice requests, PHI, or sensitive patient data through the Site.
  • Misrepresent your identity, practice, or authority to engage us.

9. THIRD-PARTY PLATFORMS

Our services may involve third-party platforms including Google, Meta, advertising networks, analytics tools, CRM and automation providers, and AI platforms. Their terms, availability, pricing, and policy changes are outside our control. We are not responsible for platform outages, account suspensions, policy changes, or pricing changes imposed by third parties.

10. AI AND AUTOMATION

We may use AI and automation to support marketing workflows, content production, lead routing, reporting, and operational tasks. AI outputs are reviewed but may contain errors. AI is not a substitute for clinical judgment, medical advice, or licensed professional review. You are responsible for final review and approval of content published or sent on your behalf.

11. NO MEDICAL, LEGAL, OR COMPLIANCE ADVICE

We provide marketing and growth services. We do not provide medical, legal, tax, accounting, or compliance advice. You are responsible for consulting qualified professionals regarding HIPAA, advertising rules, telehealth regulations, state board requirements, and any other obligations specific to your specialty and jurisdiction.

12. DISCLAIMERS

The Site and services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. We do not warrant any specific marketing result, lead volume, revenue outcome, search ranking, or return on ad spend.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law, The Practice Catalyst and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the Site or services. Our total aggregate liability for any claim related to an engagement will not exceed the fees you paid us for the services giving rise to the claim during the three (3) months immediately preceding the event.

14. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless The Practice Catalyst from any claims, damages, liabilities, and expenses arising from (a) content, data, or assets you provide; (b) your use of the services in violation of these terms or applicable law; (c) your professional, clinical, or compliance obligations; and (d) any claim that materials you supplied infringe third-party rights.

15. TERMINATION

Either party may terminate an engagement as described in the engagement agreement. We may suspend or terminate Site access at any time for conduct that violates these terms. Sections that by their nature should survive termination (IP, disclaimers, liability, indemnification, governing law) will survive.

16. SMS/TEXT MESSAGING TERMS

By providing your mobile phone number to The Practice Catalyst, you consent to receive SMS text messages from us relating to your inquiry, audit or assessment request, account, scheduling, service updates, and marketing or promotional offers. Consent is not a condition of purchase.

  • Message frequency varies based on your activity and requests.
  • Message and data rates may apply; charges are billed by your mobile carrier.
  • Reply STOP at any time to opt out. Reply HELP for help, or email support@thepracticecatalyst.com.
  • Mobile carriers are not liable for delayed or undelivered messages.
  • We do not sell, rent, or share mobile phone numbers or SMS consent with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy.

16A. CHANGES TO THE SITE OR SERVICES

We may modify, suspend, or discontinue any portion of the Site or our service offerings at any time. We will make reasonable efforts to notify active clients of changes that materially impact ongoing engagements.

17. CHANGES TO THESE TERMS

We may update these terms from time to time. The "Last updated" date at the top will reflect the most recent revision. Continued use of the Site after changes constitutes acceptance of the updated terms.

18. GOVERNING LAW

These terms are governed by the laws of the United States and the state in which The Practice Catalyst is established, without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for any dispute arising from these terms or use of the Site.
